1. Agreement to these terms
These Terms of Service (the "Terms") govern your access to and use of the Own Finance website, web application, and related interfaces (together, the "Interface"). The Interface is provided by Own Technologies, a company incorporated in the Cayman Islands that holds the intellectual property for Own Protocol (the "Company", "we", "us").
By accessing or using the Interface, you agree to be bound by these Terms. If you do not agree, do not use the Interface.
2. The Interface is not the Protocol
Own Protocol is a set of autonomous smart contracts deployed on public blockchains. The Protocol is permissionless: anyone can interact with it directly, and the Interface is only one of many possible ways to do so. We do not operate, own, or control the Protocol, the underlying blockchains, or the wallets, market makers, oracles, or other third parties that interact with it.
The Interface is non-custodial. We never take possession, custody, or control of your assets. Every transaction is composed by you, signed by your own wallet, and executed by smart contracts on a public blockchain. We cannot recover funds, reverse transactions, or move assets on your behalf.
3. Eligibility
By using the Interface, you represent and warrant that you:
- are of legal age in your jurisdiction and have the capacity to enter into these Terms;
- are not a person or entity subject to sanctions administered by any governmental authority, and are not located in, incorporated in, or resident of a jurisdiction subject to comprehensive sanctions;
- are not accessing the Interface from a jurisdiction where doing so is prohibited or where the products made available through the Protocol would be unlawful; and
- are solely responsible for ensuring that your use of the Interface complies with the laws and regulations that apply to you.
4. Your wallet
You interact with the Protocol through a self-custodial wallet that you control. You are solely responsible for safeguarding your wallet, private keys, and recovery phrases. We have no ability to retrieve them or to access or transfer the contents of your wallet. If you lose access to your wallet, you may permanently lose access to your assets.
5. Synthetic assets and risk
Tokens issued through Own Protocol ("eTokens") provide synthetic price exposure to real-world assets. They are not equity, do not represent ownership of the underlying asset, and carry no shareholder, voting, or dividend rights. Using the Interface and the Protocol involves significant risk, including but not limited to:
- smart contract risk: contracts may contain bugs or vulnerabilities despite audits;
- market risk: the value of synthetic assets and crypto collateral can be extremely volatile, and you may lose the entire value of your position;
- counterparty risk: market makers that hedge issued tokens may default; onchain collateral is designed to insure this event but does not eliminate the risk;
- oracle risk: prices used by the Protocol are supplied by oracles that may be delayed, unavailable, or inaccurate;
- liquidation risk: positions used as borrowing collateral may be liquidated if their health factor deteriorates;
- yield variability: funding rates, borrow rates, and any quoted yields vary with market conditions and are not guaranteed; and
- regulatory risk: the legal treatment of synthetic assets is evolving and may change in ways that adversely affect the Protocol or your ability to use it.
You accept all such risks. All use of the Interface and the Protocol is entirely at your own risk.
6. No advice
Nothing on the Interface constitutes investment, financial, legal, tax, or other professional advice. Information is provided for informational purposes only. You are solely responsible for evaluating any position you take and should consult your own advisers before making financial decisions.
7. Prohibited use
You agree not to:
- use the Interface for any unlawful purpose, including money laundering, terrorist financing, or sanctions evasion;
- circumvent any geographic or other access restriction, including by use of a VPN or similar tool;
- engage in market manipulation, fraud, or any deceptive practice;
- exploit or attempt to exploit any vulnerability in the Interface or the Protocol, or interfere with their operation;
- use automated means to scrape or overload the Interface; or
- infringe the intellectual property rights of the Company or any third party.
8. Intellectual property
The Interface, including its design, text, graphics, and software, is owned by Own Technologies and protected by intellectual property laws. Open-source components, including the published Protocol contracts, are licensed under the terms stated in their respective repositories. No rights are granted to you other than as expressly set out in these Terms or the applicable open-source licenses.
9. Third-party services
The Interface may link to or integrate third-party services, including wallets, blockchain networks, lending markets, exchanges, and data providers. We do not control and are not responsible for these services, and linking to them does not imply endorsement. Your use of any third-party service is governed by its own terms.
10. Disclaimers
The Interface is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Interface will be uninterrupted, error-free, or secure, or that displayed data (including prices) will be accurate, complete, or current.
11. Limitation of liability
To the maximum extent permitted by law, the Company and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, assets, data, or goodwill, arising out of or in connection with your use of the Interface or the Protocol, even if advised of the possibility of such damages. In no event shall the aggregate liability of the Company exceed one hundred U.S. dollars (US$100).
12. Indemnification
You agree to indemnify and hold harmless the Company and its affiliates from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your use of the Interface, your violation of these Terms, or your violation of any law or the rights of any third party.
13. Changes to the Terms and the Interface
We may modify these Terms or the Interface at any time. Updated Terms take effect when posted on this page, and your continued use of the Interface constitutes acceptance. We may suspend or discontinue the Interface, in whole or in part, without notice. The Protocol itself remains accessible independently of the Interface.
14. Governing law
These Terms are governed by the laws of the Cayman Islands, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Interface shall be subject to the exclusive jurisdiction of the courts of the Cayman Islands.
